Terms of Service - MerchantFlow

MerchantFlow Terms of Service covering service usage, the mobile app, subscription billing, acceptable use, intellectual property, liability limitations, and termination.

Terms of Service

Effective Date: December 27, 2025

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and MerchantFlow Pty Ltd, a company registered in Australia ("MerchantFlow", "we", "us", "our"). By accessing or using the MerchantFlow platform at merchantflow.ai or the MerchantFlow mobile app for iOS and Android (together, the "Service"), you agree to be bound by these Terms.

If you do not agree with these Terms, you must not access or use the Service.

What Is the MerchantFlow Service?

MerchantFlow is a Software-as-a-Service (SaaS) platform designed for e-commerce merchants. The Service enables you to:

  • Connect integrations including Google Ads, Google Analytics 4, Google Search Console, Google Merchant Center, Shopify, WooCommerce, and Meta Ads
  • Analyze product profitability across your connected platforms
  • View analytics dashboards with real-time and historical data
  • Track ROAS and margins to measure advertising effectiveness
  • Export reports for business analysis and decision-making

MerchantFlow Mobile App

MerchantFlow also publishes a companion mobile app for iOS and Android. The app:

  • Is free and included with an active MerchantFlow subscription or trial on the associated workspace
  • Requires an existing MerchantFlow account - accounts can only be created on the web
  • Displays a subset of the web dashboard, not the full feature set. The only changes you can make from the app are triggering a sync and choosing which metrics are pinned
  • Follows your plan tier for features that are tier-gated, including metric customization
  • Is being enabled for selected workspaces while it rolls out, so availability is not guaranteed on any particular account

The app is a companion to the web dashboard, not a substitute for it. Additional terms specific to the app are set out under Mobile Application Terms below.

The Service is provided "as is" and "as available" subject to these Terms.

Account Registration

Eligibility

To use MerchantFlow, you must be at least 18 years of age, have the legal authority to enter into this agreement, and not be prohibited from using the Service under applicable law.

Account Responsibilities

You agree to provide accurate information, maintain the security of your account credentials, enable two-factor authentication (2FA) as recommended, notify us immediately of unauthorized access, and keep your information up to date.

You are responsible for all activity that occurs under your account.

Mobile Device Pairing

Pairing a device grants that device access to your workspace data until the credential expires or you revoke it. Accordingly:

  • Treat a pairing code like a password. Do not share it, photograph it for someone else, or publish it
  • You are responsible for all activity originating from devices you pair, exactly as you are for your web sessions
  • Keep a device passcode or biometric lock enabled. The app has no separate PIN or biometric lock of its own, so your device lock screen is the local protection for a paired session
  • Revoke any device you no longer control at Settings > Developer > Mobile, and notify us immediately of any suspected unauthorized access

Revoking your browser sessions with "Log Out All Devices" does not revoke paired mobile devices. They are separate mechanisms.

Subscription and Billing

Payment Processing

All payments are processed securely through Stripe. MerchantFlow does not store your payment card details.

Plans and Pricing

MerchantFlow offers monthly and annual subscription plans. Current pricing is available at merchantflow.ai. Prices are listed in the applicable currency and are exclusive of taxes unless stated otherwise.

Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle. You will be charged the then-current rate unless you cancel before renewal.

Cancellation and Refund Policy

  • You may cancel your subscription at any time through Settings > Billing
  • You may cancel at the end of your billing period (retaining access until then) or cancel immediately (losing access right away)
  • No pro-rata refunds or credits are provided for partial subscription periods or unused time
  • Payments are non-refundable except as required by Australian Consumer Law

Free Trial

New accounts may receive a 14-day free trial with full access to the selected tier and no payment required during the trial period. See Trial Period for details.

Acceptable Use

Permitted Uses

You may use MerchantFlow for e-commerce analytics, reporting, business insights, connecting supported integrations, team collaboration, and exporting data for legitimate business purposes.

Prohibited Uses

You agree not to:

  • Reverse engineer the platform or its algorithms
  • Scrape or extract data through automated means
  • Attempt unauthorized access to MerchantFlow systems or other accounts
  • Resell, sublicense, or redistribute the Service
  • Use the Service for unlawful purposes
  • Interfere with the integrity or performance of the Service
  • Upload malicious code or harmful content
  • Use the Service for competitive analysis or benchmarking against MerchantFlow
  • Share, publish, or transfer a pairing code or device credential to anyone outside your authorized team
  • Use the mobile application programming interfaces other than through the MerchantFlow mobile app, or automate requests through them
  • Modify, repackage, decompile, or run the app in an emulated or instrumented environment in order to extract data or credentials

Violation of these terms may result in immediate account termination.

Communications and Consent

Transactional Communications

By creating an account, you acknowledge and agree that MerchantFlow will send you transactional and service-related communications necessary for the operation of your account. These include account security alerts, billing notifications, integration status updates, service disruptions, regulatory notices, support responses, onboarding guidance, configured performance summaries and anomaly alerts, and data export or deletion confirmations.

Transactional communications cannot be opted out of while you maintain an active account. These messages are required to fulfill our contractual obligations to you, protect the security of your account, and comply with applicable law. Under the Australian Spam Act 2003, these messages are not classified as commercial electronic messages because their dominant purpose is facilitating or confirming a commercial transaction or providing factual information about your account.

Marketing Communications

By creating an account, you consent to receiving marketing and product communications from MerchantFlow, including product announcements, feature releases, usage tips, surveys, and promotional offers.

You may withdraw consent and opt out of marketing communications at any time by:

  • Clicking the "Unsubscribe" link in any marketing email
  • Updating your preferences in Settings > Notifications
  • Emailing [email protected]

We will process opt-out requests within 5 business days. Opting out of marketing communications does not affect your receipt of transactional communications.

Communication Channels

All communications described in this section are delivered via email to the address associated with your account, and/or via in-app notifications within the MerchantFlow dashboard.

Data and Privacy

Your use of MerchantFlow is governed by our Privacy Policy, and in particular its MerchantFlow Mobile App section. Key points:

  • We collect only the data necessary to provide the Service
  • Integration data is used solely for analytics and reporting
  • We do not sell your data to third parties
  • You retain ownership of your business data
  • Data shown in the mobile app is delivered from your workspace to the device you paired, and is not stored on the device

By pairing a device, you instruct us to make your workspace data available on that device. You are responsible for ensuring this is consistent with your own privacy notices and any consents you have obtained from the individuals whose data your workspace holds.

Intellectual Property

MerchantFlow Ownership

MerchantFlow Pty Ltd owns all rights, title, and interest in the platform, including software, user interface design, trademarks, documentation, and algorithms.

Your Content

You retain ownership of the data you provide and generate through the Service. You grant MerchantFlow a limited license to process your data solely to provide the Service. This license terminates when you delete your data or close your account.

Mobile Application Terms

License to Use the App

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the MerchantFlow mobile app on devices you own or control, for your internal business purposes, for as long as your subscription remains active.

You may not resell, sublicense, or redistribute the app. This license terminates when your subscription ends, when your account is terminated, or when the relevant device is revoked.

App Stores

The app is distributed through the Apple App Store and Google Play. You acknowledge that:

  • This agreement is between you and MerchantFlow Pty Ltd only. Neither Apple nor Google is a party to it
  • Neither Apple nor Google has any obligation to furnish maintenance or support for the app
  • Your use of the app is also subject to the applicable store's own terms of service
  • The app is free to download and contains no in-app purchases

Device Security and Availability

You are responsible for your device, its operating system, its lock screen, and your network connection. The app requires an internet connection and does not work offline.

Store, operating-system, or network conditions outside our control may prevent the app from functioning. The Limitation of Liability section above applies to the app exactly as it does to the web platform.

Changes to the App

Features may be added, changed, or withdrawn. The app is updated only through the app stores, so you may need to install an update to keep using it, and older versions may stop working when the interfaces they rely on change. Access to the app may be enabled or disabled per workspace during rollout.

We may issue longer-lived pairing credentials for app-store review and internal testing; these are bound to demonstration workspaces.

Limitation of Liability

Disclaimer of Warranties

To the maximum extent permitted by law, MerchantFlow provides the Service without warranties of any kind, whether express or implied.

Limitation

To the maximum extent permitted by applicable law:

  • MerchantFlow shall not be liable for indirect, incidental, special, consequential, or punitive damages
  • MerchantFlow shall not be liable for loss of profits, data, business, or goodwill
  • Total liability shall not exceed the amount paid in the twelve (12) months preceding the claim
  • MerchantFlow is not liable for downtime caused by third-party services or circumstances beyond our control

Termination

By You

Cancel your subscription through Settings > Billing or request account deletion by emailing [email protected].

By MerchantFlow

We may suspend or terminate your account for Terms violations, failure to pay fees, security risks, or legal requirements.

Effect of Termination

Upon termination, your access ceases. You may export data within 30 days. After 30 days, data is permanently deleted.

Changes to Terms

Material changes require 30 days' notice via email and/or in-app notification. Continued use after changes constitutes acceptance.

Governing Law

These Terms are governed by the laws of Australia. Disputes are subject to the exclusive jurisdiction of the courts of Australia.

Frequently Asked Questions

Can I cancel my MerchantFlow subscription at any time?

Yes. You can cancel at any time through Settings > Billing. You can choose to retain access until the end of your billing period or cancel immediately. No refunds are provided in either case.

What happens to my data if I cancel?

You retain access to export your data for 30 days after cancellation. After that, all data is permanently deleted and cannot be recovered.

Does MerchantFlow offer a service level agreement (SLA)?

MerchantFlow targets 99.9% uptime. Planned maintenance is announced 48 hours in advance. Downtime credits are available based on actual uptime performance.

Can I use MerchantFlow for multiple stores?

Each workspace supports one e-commerce store. For multiple stores, create separate workspaces or contact us about multi-store enterprise plans.

Do I need a separate subscription for the mobile app?

No. The app is free and included with an active MerchantFlow subscription or trial. Some features follow your plan tier, and you must already have an account - the app cannot create one.

How do I disconnect my phone from my MerchantFlow account?

Sign out in the app, or revoke the device at Settings > Developer > Mobile in the web dashboard. Note that "Log Out All Devices" only covers web sessions and does not revoke paired mobile devices.
